Client Agreement

newmyer.co — Website Services Agreement

Effective Date: August 2026

About This Agreement

This agreement is between Chase Newmyer, operating as newmyer.co ("Provider"), and the business named on the invoice ("Client").

Payment of an invoice that references this agreement means the Client accepts these terms. No signature is required. The specific work being purchased, along with its price, is listed on that invoice.

Questions about anything here can go to hello@newmyer.co before paying. Nothing starts until an invoice is paid unless otherwise noted through special offer.

Services

The Provider offers website design, website management, and related digital services. The scope of a given project is defined by the line items and notes on the invoice.

Services may include:

  • Website design and build
  • Website hosting management
  • Google Business Profile setup and connection
  • Minor website edits and updates
  • Email list setup and newsletter support
  • Photo, video, print, or consulting add-ons

Work outside what is listed on the invoice is quoted and approved separately before it begins.

Timeline

A standard website build goes live in about two weeks, measured from the date the Client has provided all needed content, photos, and account access. Larger builds and add-on work take longer, and an estimate is given at the start.

The clock starts when content is in hand, not when the invoice is paid. Delays caused by waiting on Client materials or approvals extend the timeline accordingly.

Revisions

A website build includes two rounds of revisions after the first draft is presented. A round means one consolidated set of requested changes, gathered and sent at once.

Revisions cover copy edits, image swaps, layout adjustments, and color or style tweaks within the agreed design. They do not cover adding pages, adding functionality, or starting over with a new design direction. Those are quoted as additional work.

The website build fee is paid upfront, before work begins. Once the first draft is presented and the project enters revisions, the monthly plan begins billing, regardless of how many revision rounds happen before the site officially goes live.

This keeps things moving on both sides. The site is built and ready at that point, and the monthly plan covers the hosting, management, and edit work already underway.

Once a site is live, ongoing minor edits are covered by the monthly plan.

Fees and Payment

Website build fees are one time and flat. The amount is fixed on the invoice before work begins and does not change unless the Client requests work outside the agreed scope.

 Ongoing monthly plans are currently:

  • Regular: $60/month
  • Gold: $100/month

Monthly plans are billed month to month with no long-term contract. The Client may cancel at any time, and cancellation takes effect at the end of the current billing period. Fees already paid are not refunded.

If a balance goes unpaid:

  • After 14 days, minor edits and other plan services pause. The site stays online.
  • After 60 days, the site comes offline while the balance is being resolved. Nothing is lost, and it can be restored as soon as the balance is settled.
  • After 120 days, the site is archived and removed from active hosting, and the working relationship is considered ended. Once any outstanding fees are paid, full transfer of the site and domain is made to the Client.

Written notice is sent before a site comes offline, and again before it is archived.

Money gets tight sometimes, and slow seasons are real. If paying on time is going to be a problem, reach out. As long as there is clear communication, a workable solution can usually be found. The timeline above is meant for situations where communication stops.

Domain Names

The Client may bring a domain they already own, which the Provider will connect to the site at no additional charge. If the Client does not have a domain, the Provider will research and recommend one. The specific domain name and its exact cost are confirmed with the Client in writing before any purchase is made.

Domains are billed to the Client at cost with no markup and are due before registration. Standard domains typically run $10 to $20 per year. Premium and specialty domains can cost significantly more, and any amount quoted in an estimate is an approximation until the specific domain is selected and confirmed.

Domains are registered in the Client's name wherever the registrar allows it. The Client owns their domain regardless of who manages it. While an active monthly plan is in place, the Provider manages renewal on the Client's behalf and bills the renewal at cost.

If the monthly plan is cancelled or lapses, responsibility for renewal returns to the Client, and the domain will be transferred to a registrar account the Client controls on request. The Provider is not responsible for a domain that expires after that responsibility has transferred.

Site Hosting and Transfer

Client websites are built and managed on third-party platforms, including Duda. Monthly fees cover management of that hosting on the Client's behalf. The Provider is not responsible for outages, feature changes, or pricing changes made by third-party providers.

Upon request, or upon cancellation once all outstanding fees are paid, the site will be transferred to a hosting account the Client controls using the platform's transfer process. After transfer, the Provider is no longer responsible for hosting, maintenance, or support of the site.

Client Responsibilities

The Client agrees to:

  • Provide access to relevant accounts (website, Google Business Profile, domain, email list, social media if relevant) as needed
  • Respond to Provider communications within a reasonable timeframe, typically 48 to 72 hours
  • Provide business-specific content, photos, and details needed to complete the work
  • Review and approve content when requested in a timely manner

The Provider is not responsible for delays caused by the Client's failure to respond or provide necessary information.

The Client confirms that any content they provide is theirs to use, or that they have permission to use it, and agrees to indemnify the Provider against any claim arising from that content, including copyright, trademark, and image rights claims.

Ownership of Work

All custom content created by the Provider for the Client, including website copy, images supplied or created for the project, and business-specific graphics, becomes the property of the Client upon full payment.

Reusable templates, code structures, workflows, and internal systems developed by the Provider remain the property of the Provider.

The Provider retains the right to reference completed work in a portfolio or credibility context unless the Client requests otherwise in writing.

Printed Materials

Design fees for printed materials cover design only. Printing, shipping, and mailing costs are billed to the Client at cost or paid by the Client directly to the printer. The Provider is not responsible for print quality, production errors, or delivery delays caused by third-party printers.

Confidentiality

Both parties agree to keep confidential any sensitive business information shared during the engagement, including customer lists, pricing strategies, and internal business details.

No Guarantee of Results

A website does not guarantee specific business outcomes. Search rankings, traffic, lead volume, and customer inquiries depend on industry, location, competition, search engine behavior, and other factors outside the Provider's control. Search engine and AI visibility setup improves the chance of being found; it does not guarantee placement.

Limitation of Liability

The Provider is not liable for any indirect, incidental, or consequential damages arising from these services, including lost revenue, lost data, or business interruption. Total liability for any claim is limited to the amount paid by the Client in the most recent billing period.

Termination

Either party may end the working relationship at any time with written notice. The Provider reserves the right to decline or discontinue service, including for nonpayment or unreasonable conduct. Work completed and invoiced remains payable.

Changes to This Agreement

These terms may be updated at any time. The version in effect for a given project is the version published on the date that project's invoice was paid. Continued use of ongoing monthly services after an update constitutes acceptance of the updated terms.

Governing Law

This agreement is governed by the laws of the State of North Carolina.
